01. Acceptance of Terms
By accessing or using the consulting services, software frameworks, or intellectual insights provided by Orqelyx Structures ("the Company"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you or the entity you represent ("Client") and Orqelyx Structures.
Usage of any part of our platform, engagement in a discovery phase, or the execution of a Statement of Work (SOW) constitutes an immediate acceptance of these operational standards. If you do not agree with any part of these terms, you must immediately cease all use of our services.
02. Scope of Services
Orqelyx Structures provides strategic architectural consulting, proprietary operational frameworks, and data-driven organizational support engagements. The specific deliverables, timelines, and technical requirements for any individual engagement will be defined in a separate Statement of Work.
Our services are provided on a professional advisory basis. While we strive for absolute precision and operational excellence, the implementation of our frameworks within the Client's internal systems remains the responsibility of the Client, unless otherwise specified in writing.
03. Client Obligations
To ensure the successful delivery of Orqelyx frameworks, the Client agrees to provide timely access to necessary data environments, key stakeholders, and internal documentation as requested by our consulting team. Delays in providing such access may result in adjustments to project timelines and costs.
Client is responsible for the accuracy and legality of all data provided to Orqelyx Structures. We assume that all information shared with us has been collected and maintained in accordance with applicable privacy laws and internal corporate governance.
04. Intellectual Property
Orqelyx Structures maintains sole ownership of all pre-existing methodologies, proprietary algorithms, and structural templates used in the delivery of services. Upon full payment of all fees, the Client is granted a non-exclusive, perpetual license to use the specific custom deliverables produced during the engagement for their internal business operations.
The Client may not resell, redistribute, or reverse-engineer the core Orqelyx frameworks or white-label our methodologies as their own without prior written authorization from our executive board.
05. Confidentiality
Both parties agree to maintain the strict confidentiality of all non-public information disclosed during the engagement. This includes technical schematics, business strategies, financial data, and trade secrets. This mutual non-disclosure obligation shall remain in effect for a period of five (5) years following the termination of services.
Information shall not be considered confidential if it is already in the public domain, was known prior to disclosure, or is required to be disclosed by law or regulatory authority.
06. Limitation of Liability
To the maximum extent permitted by law, Orqelyx Structures' total liability for any claim arising out of or related to our services shall not exceed the total amount paid by the Client to the Company during the twelve (12) months preceding the claim.
In no event shall Orqelyx Structures be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.
07. Term and Termination
These Terms shall remain in full force and effect while you use our services. Either party may terminate an individual Statement of Work (SOW) or the overall engagement upon thirty (30) days' written notice to the other party.
Upon termination, the Client shall immediately pay all outstanding fees for services rendered up to the date of termination. Provisions regarding intellectual property, confidentiality, and limitation of liability shall survive any termination or expiration of these Terms.
08. Indemnification
The Client agrees to indemnify, defend, and hold harmless Orqelyx Structures and its directors, officers, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from the Client's use of the services or any violation of these Terms.
09. Governing Law
These Terms shall be governed and construed in accordance with the laws of England & Wales, without regard to its conflict of law provisions. Any legal action or proceeding related to these Terms shall be brought exclusively in the courts located in London.
10. Amendments
Orqelyx Structures reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
